Terms and Conditions

Article 1 | Definitions

1.1 Lessor: Galla Studios, located on Tweede Hugo de Grootstraat 27-H, 1052LB, Amsterdam, referred to as "Lessor" in these general terms and conditions.

1.2 Lessee: The natural or legal person who enters into an agreement with Galla Studios, referred to as "Lessee."

1.3 Agreement: The agreement under which the Lessor, against payment, provides a space to the Lessee, with these general terms and conditions being declared applicable.

1.4 Space: The rented space at Galla Studios used as an exhibition space, photo studio, or workspace, referred to as "the Space."

1.5 House Rules: The rules regarding the use and care of the Space, which the Lessee must comply with.

1.6 Event: Any activity or use of the Space as agreed upon in the Agreement between the Lessor and the Lessee.

1.7 Booking: The reservation of the Space, which becomes final only after confirmation and payment by the Lessee.

Article 2 | Applicability of General Terms and Conditions

2.1 These general terms and conditions apply to all offers, services, Agreements, and deliveries by Galla Studios unless otherwise explicitly agreed in writing.

2.2 These terms also apply to all third parties involved in the execution of the Agreement by the Lessor.

2.3 The applicability of any general terms and conditions of the Lessee is expressly rejected.

2.4 Any deviations from these terms are only valid if expressly agreed in writing between the parties.

2.5 Should any provision in these terms be deemed invalid or void, the remainder of the terms will remain in full force.

Article 3 | Offers and Formation of Agreement

3.1 All offers and quotations provided by the Lessor are without obligation unless a period for acceptance is stated. Offers are valid for 30 days unless stated otherwise.

3.2 The Agreement is formed when the Lessee confirms the booking in writing or electronically, and the Lessor acknowledges receipt of payment.

3.3 The Lessor cannot be held to its offer if the Lessee, in reason, should have understood that the offer contains a mistake or clerical error.

3.4 The images of the Space, as presented in the offer or on the website, are a true reflection of the Space; however, the Lessor reserves the right to modify the layout if deemed necessary.

3.5 Bookings are only final when made through the designated booking system and fully paid for.

Article 4 | Rates, Payment, and Amendments

4.1 The Agreement is entered into for a specific term unless explicitly agreed otherwise.

4.2 Upon placing a booking, the Lessee commits to payment. A date is only definitively reserved after full payment has been received.

4.3 If additional time is required beyond the agreed booking, the Lessee must book additional hours in advance. Extra time is subject to availability and cannot be guaranteed.

4.4 The Lessor is entitled to adjust fees if circumstances require this. The Lessor will notify the Lessee of any fee changes as soon as possible.

4.5 If the Lessee fails to meet payment obligations, any extra costs incurred to collect the outstanding amounts will be charged to the Lessee.

Article 5 | Obligations of the Lessee

5.1 The Lessee shall provide all necessary information to the Lessor relevant to the performance of the Agreement.

5.2 The Lessee guarantees the accuracy, completeness, and reliability of the information provided, even if it originates from third parties.

5.3 The Lessee shall ensure that all guests adhere to the House Rules, and the Lessee is responsible for any damages or issues caused by their guests.

5.4 The Space must be treated with care. Any damage caused during the rental period will be the responsibility of the Lessee.

5.5 It is prohibited to drill, screw, or attach items (including stickers) to walls or floors without written permission from the Lessor.

5.6 Smoking, open flames, and the use of hazardous materials are prohibited in the Space.

5.7 The Lessee must leave the Space clean and in the same condition as it was found. Failure to do so may result in additional cleaning costs being charged to the Lessee.

5.8 The Lessee must ensure that the heating, lighting, and other equipment are turned off at the end of the rental period.

5.9 Any changes to the layout or use of the Space without permission may lead to termination of the Agreement, and the Lessor reserves the right to charge any damages or lost income resulting from such changes.

Article 6 | Use of the Space

6.1 The Space is rented exclusively for the agreed purpose. Any other use is prohibited unless explicitly agreed in writing by the Lessor.

6.2 The Lessee is responsible for managing their guests, including photographers, models, and other personnel involved during the booking.

6.3 The Lessor does not provide equipment for photo shoots. The Lessee is responsible for bringing any necessary equipment and ensuring it is safe for use.

6.4 The Lessee may not sublet the Space or transfer the Agreement to a third party without prior written consent from the Lessor.

6.5 The Space must not be used for any activities that could cause nuisance, disturbance, or damage to the property or its surroundings.

Article 7 | Liability

7.1 The Lessee is fully liable for any damages caused to the Space, equipment, or other parts of the property during the rental period.

7.2 The Lessor is not liable for damages, losses, or injuries that occur within the Space or the property, except in cases of gross negligence or willful misconduct by the Lessor.

7.3 The Lessee is responsible for obtaining adequate insurance coverage for their activities within the Space, including public liability insurance if applicable.

7.4 The Lessor is not responsible for any items left behind in the Space. Any lost items will be kept for a maximum of three months, after which they will be discarded.

Article 8 | Cancellation and Rescheduling

8.1 Cancellation Policy:

  • If the Lessee cancels thirty (30) days or more before the Move-In Date, 50% of the booking cost will be refunded, minus the Service Fee.

  • Cancellations made less than thirty (30) days prior to the Move-In Date are not permitted, and the full booking cost will be charged.

8.2 Rescheduling:
Rescheduling is only possible with the prior written consent of the Lessor and is subject to availability. Without such consent, a rescheduling request will be considered a cancellation.

8.3 In the event of force majeure (such as fire, flood, or government restrictions), the Lessor reserves the right to cancel the booking without liability. The Lessor will offer an alternative date where possible.

Article 9 | House Rules

9.1 The Lessee and their guests must comply with the House Rules, which form part of these general terms and conditions. A breach of the House Rules may result in immediate termination of the rental agreement.

9.2 The Lessee is responsible for any damage caused by the violation of the House Rules and may be liable for additional fines or charges.

Article 10 | Intellectual Property

10.1 All intellectual property rights to the materials and information provided by the Lessor remain vested in the Lessor.

10.2 The Lessee is not permitted to reproduce, publish, or share any of the materials provided by the Lessor without prior written consent.

10.3 By entering into the Agreement, the Lessee grants the Lessor permission to use images or footage of the event in its portfolio, advertisements, or social media, unless explicitly objected to by the Lessee in writing.

Article 11 | Payment Terms

11.1 Payment must be made in full before the start of the rental period. Failure to pay on time may result in the cancellation of the booking.

11.2 Any additional charges incurred during the rental period (such as for extra hours or damage) must be paid within 14 days of receiving the invoice.

Article 12 | Governing Law and Disputes

12.1 These general terms and conditions, and any Agreement between the Lessor and Lessee, are governed by Dutch law.

12.2 Any disputes arising from or related to the Agreement will be submitted to the competent court in Amsterdam.
